Title: Dir, Contracts
Location: United States-Virginia - Herndon

This manager, who will be based in Plano, Texas or Herndon, Virginia, will be responsible for overseeing a team of contract management professionals who negotiate information technology product and service sales agreements with Prime Contractors and Federal government customers. Additionally, the manager will independently handle a variety of contractual and compliance issues arising from the business activities of the Federal Business Units.
The ideal candidate will have:
o A bachelor's degree (preferred).
* At least 15 years of commercial or public contracting experience dealing with complex issues in the areas of contract law, business transactions, intellectual property and information technology.
* At least 10 years of extensive experience in contracting with the Federal government and Prime Contractors who support the Federal government.
* At least 5 years of experience in managing individuals and/or teams of contract professionals.
* Extensive experience relating to bids and proposals and highly-specialized legal documents to include contracts, subcontracts, teaming agreements and contract modifications.
* Ability to identify legal risk of contemplated litigation or disputes in which the Corporation is involved.
* Comprehensive understanding of federal government procurement regulations and procurement processes.
* Extensive knowledge of industry norms and of the business and legal issues unique to IT products and services.
* Strong negotiation and drafting skills with knowledge of the key legal issues in government contracts with an ability to advise senior management on implications of contract terms.
* Experience in working off of standard government templates and contract forms, and independently drafting/revising contract language.
* Prior successful collaboration with business executives in a rapidly changing business and legal environment.
* Experience in compliance matters involving Federal government laws and regulations.
* Exceptional interpersonal and verbal communication/presentation skills.
* Highly-developed organizational skills with the ability to effectively manage multiple time sensitive tasks in a fast-paced environment.
* Exceptional integrity and professionalism.

Specific responsibilities include:
* Providing guidance to employees who are reviewing and analyzing RFPs; negotiating customer and major subcontractor contracts; reviewing, drafting and negotiating various types of contracts, including non-disclosure agreements, letters of intent, memoranda of understanding, teaming agreements, consulting agreements, service agreements, master service agreements, license agreements and marketing agreements.
* Providing guidance to employees who are reviewing and preparing responses to requests for proposals, requests for quotes, requests for information and similar competitive bid documents from potential and existing customers of HP.
* Providing guidance to employees who are reviewing and advising on documents prepared by clients, such as statements of work, service level agreements, pricing schedules and customer obligations.
* Advising clients on various contractual provisions and business issues.
* Working with clients to develop resolutions to business disputes.
* Assisting in negotiations with customers to achieve satisfactory resolution of the disputes.
* Ensuring compliance with all corporate policies and directives of the General Counsel.
* Working with and training clients to help them properly approach and structure transactions.
* Working with other internal corporate teams in a collaborative manner.
* Reviewing internal policies and providing sound business acumen to internal groups.
* Training internal clients on various contractual provisions, issues, approaches and preferred practices.
* Advising internal clients on various corporate policies, procedures, approaches and preferred practices.
* Fielding questions from clients in specialty areas and determining, with the assistance of experts in the specialty areas, how to answer the questions.
* Performing job responsibilities of Contract Negotiators when client demand necessitates.
* Other duties as assigned.
